TERMS AND CONDITIONS

These Website Terms and Conditions (“Terms”) govern access to and use of the website located at strivcpas.com, including its pages, content, features, forms, and other online services that link to these Terms (collectively, the “Site”).

The Site is owned and operated by Striv CPAs , doing business as Striv CPAs (“Striv,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not access or use the Site.

1. Scope of These Terms

These Terms govern use of the public Site only.

They do not govern tax preparation, accounting, payroll, consulting, CFO advisory, M&A preparation, financial reporting, representation, or other professional services performed by Striv. Professional services are governed by a separate written engagement letter, statement of work, service agreement, or similar contract between Striv and the applicable client.

If these Terms conflict with a signed professional-services agreement concerning services provided to a client, the signed professional-services agreement will control with respect to those services.

2. Informational Purposes Only

The information provided through the Site is for general educational and informational purposes only. It is not intended to constitute, and should not be relied upon as:

  • Tax, accounting, legal, investment, financial, payroll, valuation, or business advice;
  • A recommendation regarding any particular tax position, entity structure, transaction, investment, sale, acquisition, or business decision;
  • An opinion concerning the application of law to a particular person or situation; or
  • A substitute for advice based on a review of all relevant facts and circumstances.

Tax laws, accounting standards, regulations, administrative guidance, filing requirements, and business conditions change frequently. Information on the Site may not reflect the most recent developments and may not apply to your circumstances.

You should consult qualified advisers before acting or declining to act based on information found on the Site.

3. No Professional or Client Relationship

Accessing the Site, reading its content, submitting a contact form, downloading materials, communicating with Striv, or scheduling an introductory consultation does not create a CPA-client, accountant-client, adviser-client, fiduciary, or other professional relationship.

A professional relationship is created only after Striv has:

  1. Evaluated the proposed engagement;
  2. Completed any necessary conflict, identity, independence, or acceptance procedures;
  3. Agreed in writing to provide the applicable services; and
  4. Received an executed engagement letter or other written agreement and any required payment or retainer.

Striv has no duty to provide services, monitor deadlines, submit filings, preserve rights, or take action on behalf of any person unless and until Striv expressly accepts that responsibility in a signed written agreement.

4. No Guarantee of Results

Examples, case studies, testimonials, estimates, projections, tax-savings figures, valuation improvements, revenue figures, performance metrics, and other results presented on the Site are provided for illustrative purposes.

Past results do not guarantee or predict future results. Outcomes depend on facts and circumstances that may be unique to each client, including the accuracy and completeness of information provided, industry conditions, tax law, regulatory developments, transaction structure, timing, management decisions, market conditions, and actions taken by governmental agencies or third parties.

Unless expressly included in a signed engagement agreement, Striv does not guarantee:

  • Any particular amount of tax savings;
  • That a return or position will be accepted by a taxing authority;
  • That an audit, examination, notice, or dispute will be avoided or resolved favorably;
  • That filings or payments will never result in interest, penalties, or additional liabilities;
  • Any particular business valuation, sale price, investment return, revenue growth, or transaction outcome;
  • Error-free payroll, accounting, reporting, or tax processing; or
  • Uninterrupted or error-free access to any service or technology.

Any express service warranty, guarantee, service level, or remedy offered by Striv is limited to the language of the applicable signed engagement agreement.

5. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into an agreement to use the Site.

When using the Site on behalf of a company or other organization, you represent that you have authority to act on behalf of and bind that organization to these Terms.

6. Limited License to Use the Site

Subject to these Terms, Striv grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the Site for lawful personal or internal business purposes.

You may print or download reasonable portions of the Site for your own noncommercial informational use, provided that you do not remove copyright, trademark, or other proprietary notices.

No other rights are granted.

7. Prohibited Conduct

You may not:

  • Use the Site in violation of any law, regulation, court order, or third-party right;
  • Attempt to gain unauthorized access to the Site, a server, an account, a database, or any connected system;
  • Circumvent authentication, security, access-control, or usage restrictions;
  • Introduce malware, ransomware, spyware, malicious code, or other harmful material;
  • Interfere with the availability, integrity, performance, or security of the Site;
  • Use automated tools to scrape, harvest, index, copy, or extract Site content except as permitted by applicable law or authorized in writing by Striv;
  • Copy, reproduce, republish, distribute, sell, license, modify, or create derivative works from Site content except as expressly permitted;
  • Misrepresent your identity, affiliation, authority, qualifications, or intentions;
  • Submit false, misleading, defamatory, fraudulent, unlawful, or infringing information;
  • Use the Site to transmit confidential information belonging to another person without authorization;
  • Use information from the Site to compete with Striv or develop a substantially similar commercial resource;
  • Use Striv’s name, marks, testimonials, personnel information, or content to imply an endorsement or affiliation that does not exist; or
  • Assist another person in engaging in prohibited conduct.

Striv may restrict or terminate access to the Site when it reasonably believes these Terms have been violated.

8. Intellectual Property

The Site and its content—including text, graphics, logos, service names, slogans, articles, photographs, videos, designs, software, downloads, and the selection and arrangement of those materials—are owned by Striv or its licensors and are protected by intellectual-property laws.

“Striv,” “Striv CPAs,” associated logos, and other Striv marks may be trademarks or service marks of Striv. You may not use them without prior written permission.

Nothing on the Site grants any license to use Striv’s intellectual property except for the limited Site-use license expressly stated in these Terms.

9. Communications and Information You Submit

When you submit information through the Site, you represent that:

  • The information is accurate and not misleading;
  • You are authorized to provide it;
  • Its submission does not violate another person’s rights; and
  • Striv may use it to respond to your inquiry, evaluate a potential engagement, schedule a consultation, provide requested information, and otherwise act as described in the Privacy Policy.

Submitting an inquiry authorizes Striv to respond using the email address, telephone number, or other contact information you provide. It does not, by itself, authorize recurring promotional text messages or override any consent required by law.

Striv may retain business communications and inquiries for recordkeeping, security, quality, legal, and operational purposes.

10. Confidential and Sensitive Information

Do not submit Social Security numbers, taxpayer identification numbers, tax returns, payroll files, bank account information, passwords, government identification documents, or other highly sensitive information through the Site’s general contact forms or ordinary unencrypted email.

When Striv asks you to provide sensitive information, use the secure portal, encrypted transfer method, or other approved process specified by Striv.

Sending confidential or sensitive information through an unapproved channel does not create a professional relationship or obligate Striv to act on that information.

11. Client Portals and Third-Party Platforms

Striv may use client portals, scheduling applications, electronic-signature platforms, cloud systems, accounting software, payroll systems, payment processors, or other third-party platforms.

Use of those platforms may be subject to additional terms and privacy policies established by their providers. Striv is not responsible for a third-party provider’s independent acts, omissions, availability, security, content, or terms, except to the extent responsibility cannot lawfully be excluded or is expressly assumed in a signed engagement agreement.

You are responsible for maintaining the confidentiality of account credentials associated with any client portal or third-party platform and for promptly notifying Striv of suspected unauthorized access.

12. Third-Party Links and Resources

The Site may link to government agencies, software providers, professional resources, social media platforms, articles, or other third-party websites.

Links are provided for convenience and do not necessarily constitute an endorsement, representation, or warranty concerning the third party or its content. Striv does not control and is not responsible for third-party websites, products, services, security practices, or privacy practices.

Accessing third-party resources is at your own risk and subject to the third party’s terms.

13. Electronic Communications

By communicating with Striv electronically, you consent to receive responsive and service-related communications electronically, subject to applicable law.

Electronic communications may include consultation confirmations, document requests, security notices, engagement communications, reminders, and other information related to an inquiry or client relationship.

You may unsubscribe from promotional emails by using the unsubscribe link included in the message. Unsubscribing from marketing communications will not prevent Striv from sending necessary transactional, security, legal, or client-service communications.

14. Site Availability and Security

Striv may modify, suspend, withdraw, restrict, or discontinue any portion of the Site at any time.

Although Striv uses reasonable measures intended to protect the Site, no website, network, transmission, or storage system can be guaranteed to be completely secure, continuously available, or free from harmful components.

You are responsible for maintaining appropriate security software, backups, access controls, and precautions when accessing the Site or downloading materials.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL INFORMATION, MATERIALS, AND FEATURES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

STRIV DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY, AND QUIET ENJOYMENT.

STRIV DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, CURRENT, COMPLETELY SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

This disclaimer concerns the public Site. Warranties or obligations relating to professional services, if any, are governed exclusively by the applicable signed engagement agreement.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STRIV AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SITE.

THIS INCLUDES LOSS OF PROFITS, REVENUE, SAVINGS, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR USE, EVEN IF STRIV HAS BEEN ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE FULLEST EXTENT PERMITTED BY LAW, STRIV’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PUBLIC SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS.

These limitations do not:

  • Apply to liability that cannot lawfully be limited or excluded;
  • Limit rights or remedies expressly provided in a signed engagement agreement; or
  • Govern claims arising from professional services provided under such an agreement.

Some jurisdictions do not allow certain warranty exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

17. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Striv and its owners, officers, directors, employees, contractors, agents, affiliates, and licensors from third-party claims, liabilities, losses, damages, judgments, penalties, and reasonable legal expenses arising from:

  • Your unlawful or unauthorized use of the Site;
  • Your material violation of these Terms;
  • Information or materials you submit through the Site;
  • Your infringement or violation of another person’s rights; or
  • Fraudulent, malicious, or intentionally harmful conduct by you.

This section does not require you to indemnify a party for conduct for which indemnification is prohibited by law.

18. Governing Law and Venue

These Terms and disputes relating solely to the public Site are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Subject to any applicable law requiring otherwise, exclusive jurisdiction and venue for such disputes will lie in the state courts located in Utah County, Utah, or the federal courts serving Utah County.

Disputes arising from a professional engagement are governed by the dispute-resolution and governing-law provisions in the applicable signed engagement agreement rather than this section.

19. Changes to These Terms

Striv may revise these Terms periodically. Updated Terms will be posted on this page with a revised “Last Updated” date.

Changes apply prospectively upon publication unless a later effective date is stated. Continued use of the Site after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.

Material changes affecting an existing professional engagement will not amend a signed engagement agreement unless made in accordance with that agreement.

20. Severability, Waiver, and Assignment

If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

A failure by Striv to enforce a provision is not a waiver of that provision or any other right.

You may not assign your rights or obligations under these Terms without Striv’s prior written consent. Striv may assign these Terms as part of a merger, reorganization, asset transfer, business sale, or similar transaction, subject to applicable law.
